1. Introduction and Scope

Premium Exec OS is a brand operated by Digital Success School OÜ, a private limited company registered in the Republic of Estonia. Digital Success School OÜ is the seller, contracting party, invoice issuer, and service provider for the digital products and services offered through this website.

These Terms and Conditions (“Terms”) govern your access to and use of our websites, products, services, and content.

References in these Terms to “Premium Exec OS,” “we,” “us,” or “our” refer to Digital Success School OÜ.

By visiting the Premium Exec OS website or accessing, using, or purchasing any digital product or service offered through it, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Premium Exec OS website or purchase any digital products or services offered through it.

These Terms are intended primarily for business-to-business transactions (“B2B Transactions”).

2. Eligibility and Authority

To purchase digital products or services offered through the Premium Exec OS website, you must be at least 18 years old and have the legal capacity to enter into a binding agreement.

By placing an order or requesting an invoice, you represent and warrant that:

  • you have the legal capacity and authority required to enter into the agreement

  • all information you provide is accurate, current, complete, and not misleading

  • you will use the products and services only for lawful purposes

  • where you act on behalf of a company or other organisation, you are duly authorised to represent and legally bind that entity

A person placing an order on behalf of a company or organisation is responsible for obtaining all necessary internal approvals, purchasing authorisations, and budget approvals.

3. Products and Services

The digital products and services offered through the Premium Exec OS website include, among other things:

  • professional business frameworks

  • strategic and management resources

Unless expressly stated otherwise on the relevant product page or in a separate written agreement:

  • all products are delivered electronically

  • no physical product will be shipped

  • any images, mock-ups, tablets, printed documents, binders, books, or other physical objects shown in product images are for illustrative purposes only

Before making a purchase, you are responsible for reviewing the relevant product description, file format, technical requirements, compatibility information, included materials, licence scope, and intended use.

4. Orders and Contract Formation

Product descriptions, prices, and invitations to request a B2B invoice generally constitute invitations to submit an order and do not automatically constitute binding offers made by us.

An order may be submitted through the B2B invoice request form.

By submitting an order, you make an offer to purchase the relevant product or service in accordance with these Terms and any additional terms disclosed during the ordering process.

An automated confirmation, invoice request confirmation, payment authorisation notice, or other acknowledgement that your request has been received does not necessarily mean that your order has been accepted.

A binding purchase agreement is formed when:

  • we enter into a separate electronically signed agreement with you

  • we accept payment in full and deliver the relevant digital product

We reserve the right to reject, suspend, or cancel an order where reasonably necessary, including where:

  • the information provided is incomplete, inaccurate, or misleading

  • fraudulent, unlawful, or unauthorised activity is suspected

  • an issue arises in connection with sanctions, taxation, or other regulatory requirements

5. Purchases and Payments

By purchasing a product or service, you agree to:

  • pay all applicable prices, taxes, fees, and charges

  • provide accurate and complete billing information

  • provide valid payment information

  • comply with the applicable payment terms

  • ensure that you are authorised to use the selected payment method

Prices, currencies, applicable taxes, and payment terms will be specified on the relevant product page, in a written quotation, on an invoice, or in another applicable order document.

We reserve the right to reject or cancel orders in accordance with these Terms and applicable law.

Payments may be processed directly by Digital Success School OÜ or through a secure third-party payment service provider.

6. B2B Invoice Requests and Bank Transfers

Business Customers may request a B2B invoice for an eligible purchase.

A “Business Customer” means a legal entity, organisation, entrepreneur, or natural person entering into a transaction primarily for purposes related to their trade, business, profession, occupation, or independent economic activity.

To request a B2B invoice, a Business Customer may be required to provide the following information:

  • the company’s full legal name

  • legal form

  • registration or incorporation number

  • registered address

  • billing address

  • country of incorporation

  • VAT identification number or other applicable tax identification number

  • the name and contact details of an authorised representative

  • the requested product and licence scope

  • purchase order details, where applicable

  • any other information reasonably required for invoicing, taxation, compliance verification, fraud prevention, sanctions screening, or verification purposes

By submitting a B2B invoice request, the applicant represents and warrants that:

  • the information provided is accurate and complete

  • the purchase is being made for a legitimate business purpose

  • the applicant is authorised to act on behalf of the Business Customer

  • the applicant is entitled to provide the Business Customer’s company, billing, and tax information

  • all required internal purchasing approvals have been obtained

Submitting a B2B invoice request does not guarantee that the request or order will be accepted. We may request additional information, verify the Business Customer’s details, clarify the required licence, require a signed order form or agreement, or reject the request.

The applicable invoice will specify:

  • the product or service

  • the price and currency

  • any applicable VAT or other taxes

  • payment instructions

  • the payment reference

  • the payment due date

  • any transaction-specific additional terms

Payment must be made to the bank account specified on a valid invoice or in other payment instructions approved and issued by Digital Success School OÜ.

The Business Customer is responsible for independently verifying any request to make payment to a bank account that differs from the account stated on the original invoice.

Unless expressly agreed otherwise in writing:

  • the invoice must be paid in full

  • the correct invoice or payment reference must be included with the payment

  • all bank, intermediary bank, and currency conversion fees must be borne by the Business Customer

  • a transfer confirmation, payment order, or screenshot does not constitute conclusive evidence that payment has been received

  • the digital product will not be delivered until the full amount due has been received as cleared and freely available funds

If bank or intermediary fees are deducted from the amount received, we may require payment of the outstanding balance before delivering the product.

Applicable VAT or other indirect taxes will be determined based on the customer’s location, business or consumer status, tax information, place of establishment, the nature of the supply, and applicable law.

Reverse-charge treatment, zero-rating, tax exemption, or any other preferential tax treatment will apply only where all relevant legal requirements have been satisfied. Providing a VAT identification number does not automatically guarantee that any particular tax treatment will apply.

7. Digital Delivery

Digital products may be delivered by:

  • download link

  • email attachment

  • access credentials

  • secure file transfer service

You are responsible for providing a correct and accessible email address and for checking your spam, quarantine, and other corporate email security folders.

You are also responsible for:

  • maintaining suitable devices, software, and internet access

  • protecting download links and access credentials

  • preventing unauthorised access

  • downloading and securely storing the files provided

  • maintaining reasonable backup copies where permitted by the applicable licence

If you do not receive or cannot access a purchased digital product, you must contact us promptly at support@premiumexecos.com and provide the relevant order or invoice information.

8. Refunds, Cancellations, and Rights of Withdrawal

Refund and cancellation terms may vary depending on the relevant product or service.

Unless expressly stated otherwise in the product description, order documentation, or Refund Policy, purchases of digital products, downloadable files, and electronically delivered materials are final and non-refundable once delivery or access has commenced.

A separate Refund Policy forms part of these Terms and should be reviewed before making a purchase.

9. Intellectual Property Rights

All content made available through the website is owned by Digital Success School OÜ or its licensors, including:

  • text

  • graphics and illustrations

  • business frameworks and methodologies

  • trademarks, trade names, and logos

  • software

  • visual designs

  • product architecture

The content is protected by applicable intellectual property laws.

Without the prior written permission of Digital Success School OÜ, you may not:

  • copy or reproduce the content

  • distribute or resell the content

  • modify or adapt the content

  • publicly perform, display, or present the content

  • use the content to train artificial intelligence models

10. Licence to Use Purchased Content

When a digital product is purchased, the purchaser is granted a limited, non-exclusive, and non-transferable licence to use the content for the internal business and professional activities of the purchasing legal entity, within the scope specified in the applicable licence.

You may not:

  • share product materials outside the scope of the applicable licence

  • provide access to unauthorised persons

  • upload the content to third-party platforms

A material breach of the licence terms may result in the suspension or termination of access without a refund.

11. Educational and Informational Disclaimer

The content offered through the Premium Exec OS website is intended to improve internal management clarity, support the development of effective organisational structures, and contribute to better organisational outcomes.

Any dispute arising out of or relating to these Terms will be resolved through binding arbitration rather than conventional court proceedings, except where such an agreement is prohibited under applicable law.

To the extent permitted by applicable law, you agree to waive participation in class actions and representative proceedings.

These Terms are governed by the laws of the Republic of Estonia, without regard to its choice-of-law or conflict-of-law principles.
